Item 5.07       Submission of Matters to a Vote of Security Holders.
   
    The Monarch Cement Company held its annual meeting of stockholders on Wednesday, April 14, 2010, at which meeting our stockholders voted upon the election of four Class III directors to hold office for a term expiring at our 2013 annual meeting of stockholders, and until their respective successors are duly elected and qualified or until their respective earlier resignation or removal. No other matters were voted upon at the annual meeting. At the annual meeting, Jack R. Callahan, Ronald E. Callaway, Robert M. Kissick and Byron K. Radcliff each was elected as a Class III director. The following is a summary of the votes cast at the annual meeting with respect to the election of directors:
