 Item 8.01 Other Events.

On November 25, 2019, the Board appointed Richard K. Sykes as Lead Non-Management Director of the Board of Directors (the “Board”) of Dycom Industries, Inc. (the “Company”) and as Chair of the Corporate Governance Committee of the Board (the “Corporate Governance Committee”). This appointment was made in connection with a planned transition of leadership roles on the Board.
 
Mr. Sykes has been a director of the Company since 2018 and is a member of the Corporate Governance Committee, the Compensation Committee and the Executive Committee of the Board. Mr. Sykes succeeds Stephen C. Coley in these newly-appointed roles. Mr. Coley has been a director of the Company since 2003 and has served as the Company’s Lead Non-Management Director since 2004. Mr. Coley continues to serve on the Board and will continue as a member of the Audit Committee, the Corporate Governance Committee and the Executive Committee of the Board.
