Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 18, 2023, the Board of the Directors (the “Board”) of McDonald’s Corporation (the “Company”) amended and restated the By-Laws of the Company (the “Amended and Restated By-Laws”), effective immediately. The amendments primarily reflect Rule 14a-19 promulgated under the Securities Exchange Act of 1934, as amended, and also include limited updates to the other procedural and information requirements for the nomination of directors and the proposal of other business for consideration at meetings of stockholders and implement certain non-substantive changes.

The foregoing description of the amendments to the Amended and Restated By-Laws is qualified in its entirety by reference to the text of the Amended and Restated By-Laws, which is attached hereto as an exhibit and incorporated herein by reference.
