ITEM 8.01 OTHER EVENTS

 

On October 24, 2005, Analysts International Corporation issued a press release setting a date for its earnings conference call for the third quarter of fiscal year 2005.  The Company also announced that it will likely incur an impairment charge related to the goodwill of its non-infrastructure related solutions practices.  The Company carries $9.5 million of intangible assets associated with these practices, but the Company has not yet determined the amount of the impairment charge.  The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1.
