EXPLANATORY NOTE

This Form 8-K/A amends the signature block of our Current Report on Form 8-K, dated July 29, 2008 (the “Original Filing”), solely for the purpose of correcting the title of the signing officer, Robert E. Woods.  Mr. Woods’ correct title is “Senior Vice President, General Counsel and Secretary” of Analysts International Corporation.

Except for the correction described above, this amendment does not amend or modify any other disclosure in the Original Filing.
