Item 8.01  Other Events.

On March 4, 2008, Analysts International Corporation (the “Company”) issued a press release containing the text of a letter to be mailed to shareholders on March 4, 2008.  The text of the letter provides President and CEO Elmer N. Baldwin’s assessment of the state of the Company.  The letter also outlines the Company’s new business plan, including its cost reduction and restructuring, business development, technology partner and personnel goals.  The full text of the press release issued is set forth in Exhibit 99.1 which is attached to this Current Report and incorporated by reference as if fully set forth herein.
