Item 1.01Amendment to Material Definitive Agreement

On May 25, 2006, at the annual shareholders meeting of Analysts International Corporation, shareholders approved an amendment to increase from 1,000,000 to 2,000,000 the number of shares available in the Analysts International Corp. 2004 Equity Incentive Plan (the “Plan”). No other terms of the Plan were amended.
