Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(a) On December 10, 2019, at a meeting of the Board of Directors of Analog Devices, Inc. (the “Company”), Lisa Su and Neil Novich each informed the Board of Directors of the Company that they have decided not to stand for re-election at the next annual meeting of the Company’s shareholders. Dr. Su and Mr. Novich will continue to serve as directors of the Company until their terms expire at the Company’s 2020 annual meeting. Dr. Su is a member of the Company’s Compensation Committee and Mr. Novich is a member of the Audit Committee. Dr. Su’s and Mr. Novich’s decisions not to stand for re-election to the Board of Directors of the Company are not due to any disagreement with the Company.
(b) Effective December 13, 2019, John Hassett, Senior Vice President, Global Operations and Technology of the Company was appointed to the role of Senior Vice President, Industrial and Consumer, a role he held on an interim basis since June 2019 in addition to his role as Senior Vice President, Global Operations and Technology. In connection with Mr. Hassett’s change in roles, effective December 13, 2019, the Company appointed Steve Lattari to Senior Vice President, Global Operations and Technology.
