Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in

Fiscal Year.

On March 25, 2006, and effective on that date, Longview Fibre Company (the "Company") amended Section 5.6 of its bylaws to allow for special meetings of the Board of Directors of the Company to be called with notice given to each director at least two days in advance of the time of the meeting. The Company's bylaws had previously required ten days notice in advance of special meetings of the Board of Directors. The text of the amended bylaws is set forth in Exhibit 3.1 to this Current Report on Form 8-K.
