State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

American Vanguard Corporation (the “Company”) is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the fiscal year ended December 31, 2020 (the “Form 10-K”) by March 16, 2021, the original due date for such filing.

Pandemic-related restrictions on in-person meetings coupled with the manifold accounting considerations inherent in the Company’s expanding business operations and geographical scope (particularly as they relate to the acquisition of the Agrinos group of companies (with assets in seven countries) and AgNova (in Australia) in the fourth quarter of 2020) have caused unexpected delays in the completion of the audit of the Company’s financial statements for the year ended December 31, 2020. It is not anticipated that any significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in the subject report or portion thereof (see, Part IV(3) below). The Company’s unaudited financial results for the fourth quarter and full year ended December 31, 2020 were attached to its press release dated March 11, 2021 and subsequently filed with the Securities and Exchange Commission as Exhibit 99.1 to its Form 8-K on March 16, 2021. Further, as indicated in Part II above, the Form 10-K will be filed on or before the fifteenth calendar day following the original due date.
