("VGR") previously directly owned by LeBow Gamma Limited Partnership, in exchange for cash and a note issued by a third party affiliated with the Reporting Person. As discussed below, the Reporting Person has a pecuniary interest in shares of VGR's common stock held by LeBow Gamma Limited Partnership, and his acquisition of the Shares constituted a purchase to the extent that the acquisition increased the Reporting Person's pecuniary interest in the Shares, and constituted a change in form of beneficial ownership, exempted by Rule 16a-13 under the Securities Exchange Act of 1934 (the "Act"), as to the remaining Shares. LeBow Gamma Limited Partnership is a Delaware limited partnership. LeBow 2011 Management Trust is the managing member of LeBow Holdings LLC, a Delaware limited liability company, which is the sole stockholder of LeBow Gamma, Inc., a Nevada corporation, which is the general partner of LeBow Gamma Limited Partnership.
