Item 8.01 Other Events

On September 8, 2009, Lance, Inc. (the “Company”) issued a press release announcing it had entered into an agreement with Stella D’oro Biscuit Co., Inc. to acquire the Stella D’oro brand and certain manufacturing equipment and inventory. This transaction is expected to close during the fourth quarter of 2009.

A copy of the press release is being furnished as Exhibit 99.1 hereto. The press release may contain forward looking statements regarding the Company and includes a cautionary statement identifying important factors that could cause actual results to differ materially.
