Item 2.01. Completion of Acquisition or Disposition of Assets.

The Board of Directors approved selling 1.5% Net Smelter Royalty (“NSR”) on the Bruner Gold Project to Canamex Gold Corp. The agreed buyback purchase price of $450,000.00 for the retained AIVN 1.5% NSR, which AIVN has agreed to be paid by Canamex issuing to AIVN 12,500 GOLDUSA tokens, at a deemed price of $4.00 US per GOLDUSA token, as full consideration to a 4-month and 1 day escrow period, in accordance with the National Instrument 45-102.
