     We have acted as counsel to Kimball International, Inc., an Indiana corporation (the "Company"), in connection with the preparation and filing with the Securities and Exchange Commission (the "Commission") of the Company's Registration Statement on Form S-8 (the "Registration Statement") under the Securities Act of 1933 (the "Act"), registering the offer and sale of up to 2,500,000 shares of the Company's Common Stock, which may be either Class A Common Stock, $0.05 par value and/or Class B Common Stock, $0.05 par value, (the "Shares"), pursuant to the Kimball International, Inc. 2003 Stock Option and Incentive Plan (the "Plan").
