Item 8.01
Other Events.
On June 13, 2019, Unum Group (the “Company”) announced that it had completed an offering of $400,000,000 aggregate principal amount of 4.000% Senior Notes due 2029 (the “2029 Notes”).
The 2029 Notes were offered and sold pursuant to an Underwriting Agreement, dated June 10, 2019 (the “Underwriting Agreement”), and issued by the Company under an Indenture dated as of August 23, 2012. Copies of the Underwriting Agreement, the form of the 2029 Notes, the opinion of Sullivan & Cromwell LLP, special counsel to the Company, relating to the validity of the 2029 Notes, and a news release concerning the offering of the 2029 Notes are attached hereto as Exhibits 1.1, 4.1, 5.1 and 99.1, respectively.
The 2029 Notes were offered and sold under the Company’s effective registration statement on Form S-3 (File No. 333-220106) filed with the U.S. Securities and Exchange Commission (the “SEC”). The Company has filed with the SEC a prospectus supplement, dated June 10, 2019, together with the accompanying base prospectus, dated August 22, 2017, relating to the offer and sale of the 2029 Notes.
