(b)                                 On March 29, 2006, Winston R. Hindle, Jr. informed Keane, Inc., a Massachusetts corporation (the “Company”), that he would retire as a member of the Board of Directors effective as of the date of the Company’s next Annual Meeting of Stockholders, May 18, 2006, and, therefore, Mr. Hindle will not stand for re-election.
