Note 1. ORGANIZATION OF THE BUSINESS

Katy Industries, Inc. (“Katy” or the “Company”) was organized as a Delaware corporation in 1967.  The activities of the Company include the manufacture, import and distribution of a variety of commercial cleaning supplies and storage products.  Principal geographic markets are in the United States and Canada and include the sanitary maintenance, foodservice, mass merchant retail and home improvement markets.
