CMB Investments Ltd. is a British Columbia, Canada corporation wholly owned by Ralph Shearing New Option totals and price reflect 20% share dividend declared February 14, 2005 On May 8, 2006 SIII entered into a Convertible Loan Facility Agreement with CMB Investments Ltd, a company controlled by Ralph Shearing, whereby SIII would, from time to time, borrow operating funds from CMB, with interest at a rate of 10% repayable on demand. The Lender has the right to convert all or part of the principal sum plus interest into units of SIII each unit consisting of one common share of SIII and one share purchase warrant exercisable at the applicable conversion rate which is calculated at a discount to the average closing price for ten days preceding a loan advance.
