Item 8.01	Other Events
	A.	On October 31, 2006 the Company entered into a Private Placement Agreement with Ibrahim A. Alhabib and having received full subscription proceeds of US$80,000,00 issued 200,000 Common shares pursuant to Regulation S of the United States Securities and Exchange Commission.
	B.	Pursuant to a Finder’s Fee Agreement dated October 31, 2006 related to the above-noted Private Placement Agreement, the Company issued 100,000 Common shares to Khalil Ibrahim A-Albrahim.
