Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 5, 2024, Barry Bruno notified International Flavors & Fragrances Inc. (the “Company”) of his decision not to stand for reelection at the Company’s 2024 Annual Meeting of Stockholders (the “2024 Annual Meeting”). Mr. Bruno has served as a director on the Board of Directors (the “Board”) of the Company since 2022 and intends to step down from the Board upon the expiration of his term at the 2024 Annual Meeting. Mr. Bruno advised the Company that his decision to not stand for reelection and to step down from the Board did not result from any disagreement with the Company, its management or the Board on any matter, whether related to the Company’s operations, policies, practices or otherwise.
