Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed in a Current Report on Form 8-K filed on December 18, 2023 with the Securities and Exchange Commission, Kelly Galloway, Senior Vice President, Chief Accounting Officer and Controller of Hertz Global Holdings, Inc. (the “Company”), went on temporary maternity leave. In Ms. Galloway's absence, Alexandra Brooks, the Company's Executive Vice President, Chief Financial Officer, assumed Ms. Galloway's duties as the Company's principal accounting officer. Effective as of February 27, 2024, Ms. Galloway has resumed her role as the Company's principal accounting officer as its Senior Vice President, Chief Accounting Officer and Controller.
