Item 5.02 (b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 22, 2024 Bank of Hawaii Corporation (the “Company”) announced the upcoming retirement of Vice Chair and Chief Risk Officer (“CRO”) Mary E. Sellers. Ms. Sellers concludes a 37-year career with the Company, the last 18 years of which she served as CRO. Ms. Sellers retirement date is set for March 31, 2024, at which time Vice Chair and Deputy Chief Risk Officer S. Bradley Shairson will become CRO.
