Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 19, 2016, The Goodyear Tire & Rubber Company (the "Company") filed a Current Report on Form 8-K regarding the departure of Gregory L. Smith, Senior Vice President, Global Operations, from the Company. At that time, certain terms and conditions of his departure had not yet been determined. The Company is filing this Form 8-K/A to provide further information on those terms and conditions.

Mr. Smith will be leaving the Company effective December 15, 2016. Effective September 1, 2016, Mr. Smith’s annual base salary will be reduced from $565,000 to $466,100.
