Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 22, 2019 and effective as of that date, Jarvis V. Hollingsworth resigned his position as a director of Cullen/Frost Bankers, Inc. Mr. Hollingsworth's resignation was made in connection with his employment with an investment management company.
