Remarks:

Frank L. Johnson is a member of a Section 13(d) group that beneficially owns in excess of 10% of the Issuer's outstanding Shares. Mr. Johnson jointly files Forms 4 with LaGrange Capital Partners, L.P., LaGrange Capital Partners Offshore Fund, Ltd., LaGrange Special Situations Yield Master Fund, Ltd., LaGrange Capital Management, L.L.C. and LaGrange Capital Administration, L.L.C with respect to the Shares of the Issuer. As a member of the Section 13(d) group and in light of his relationships with the other Reporting Persons, Mr. Johnson may be deemed to beneficially own the 2,111,389 shares of the Issuer beneficially owned in the aggregate by the other members of the group. Mr. Johnson disclaims beneficial ownership of all such securities of the Issuer except to the extent of his or its pecuniary interest therein.
