Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) Effective October 1, 2010, the Board of Directors of Forest City Enterprises, Inc. (the “Company”) elected Arthur F. Anton as a Class B Director to fill a vacancy on the Board of Directors. Mr. Anton will stand for re-election at the Company’s 2011 Annual Meeting of Shareholders. Mr. Anton has been appointed to serve on the Compensation and Audit Committees. He will receive the standard compensation for nonemployee directors and be eligible to participate in the Deferred Compensation Plan for Nonemployee Directors as described in the Company’s Proxy Statement dated May 3, 2010. Mr. Anton was not selected as a director pursuant to any arrangement or understanding with any other person.
