assets and liabilities the Acquisition of AB Pooling
Portfolios - AB High Yield Portfolio Pooling Portfolio.

Acquisition on May 5 2016.  The related Plan of
Acquisition and Liquidation is attached hereto as
Exhibit 77Q1.
