Item 1.01.  Entry Into A Material Definitive Agreement

On July 6, 2007, Florida Public Utilities Company (the “Company”) closed on the purchase of 6.22 acres of land on Water Tower Road in Lake Park, Florida from Watertower Business Park, L.L.C., as previously reported on Form 8-K filed March 21, 2007.   The purchase price was $3,443,125.  The Company’s line of credit facility was used as the source of funds to pay the purchase price.
