Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics
 
On September 23, 2009 the Board of Trustees of Winthrop Realty Trust (the “Trust”) approved an amended and restated Code of Business Conduct and Ethics for Trustees, Officers and All Other Employees (the “Code of Ethics”) which amended the existing Code of Ethics to implement a policy for trustees and executive officers, including the principal executive officer, the principal financial officer and the principal accounting officer, with respect to their acquisition and disposition of securities which are suitable for investment by the Trust.

The Code of Ethics can be obtained upon request from the Trust’s Secretary and at the Trust’s website www.winthropreit.com under the link “Corporate Governance.”
