&lt;p style="margin-top: 6px; text-indent: 4%; margin-bottom: 0px;"&gt;&lt;font style="font-family: Times New Roman;" class="_mt" size="2"&gt;On June&amp;nbsp;1, 2010, Potomac Edison sold its electric distribution business in Virginia (the "Virginia distribution business") to Rappahannock Electric Cooperative and Shenandoah Valley Electric Cooperative. Cash proceeds from the sale were approximately $317 million, resulting in a pre-tax gain of approximately $45 million. &lt;/font&gt;&lt;/p&gt;
&lt;p style="margin-top: 12px; text-indent: 4%; margin-bottom: 0px;"&gt;&lt;font style="font-family: Times New Roman;" class="_mt" size="2"&gt;The Virginia distribution business was included in the Regulated Operations segment. Assets and liabilities relating to the Virginia distribution business were classified as "held for sale" in Allegheny's consolidated balance sheet, and depreciation expense on those assets ceased as of May&amp;nbsp;1, 2009. The operating results of the Virginia distribution business have not been reported as discontinued operations, because AE Supply will continue to provide the majority of the power to serve the customers of this business through June&amp;nbsp;30, 2011 under a power sales agreement.
