Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 20, 2010, the board of directors of Fibrocell Science, Inc. (the “Company”) approved the appointment of George J. Korkos, M.D., D.D.S., F.A.C.S. to the Company’s board of directors. The board of directors has not yet determined the composition of its board committees. On his appointment, Dr. Korkos received an option to purchase 200,000 shares of Company common stock at an exercise price equal to the fair market value of the Company’s common stock on the date of issuance, of which 100,000 shares vest immediately and 100,000 shares vest in twelve months.
