1. Fifth item on originally filed first of two Form 4's repeated information contained on line four of the first of two Form 4's for that date. Repeated item, which did not affect any totals, is deleted with this amendment.
2. This is form 1 of 2 - number of entries exceeds lines allowed on form. Please see continuation of Form 4 on form 2 of 2.
3. Original 8,250 options at $27.750 per share were previously reported. This changed to 12,375 options at a price of $18.50 per share due to 3 for 2 stock split effective 3/1/02.
4. Options are exercisable 25% each year beginning on the first anniversary date of the grant, which is listed here.
