Proposal 3:  Approval of Long-Term Incentive Plan

                The following information is intended only to clarify the provisions of the Company's Long-Term Incentive Plan (the "Plan"), as presented to the share owners for approval at the Company's May 5, 2008 Annual Meeting of Share Owners.  If the Company receives shares in connection with the exercise of or payment for any award granted under the Plan, the gross (not net) number of shares actually issued shall be counted against the share limits under the Plan.
