Item 8.01.                      Other Events.

On October 23, 2008, Insituform Technologies, Inc. (the “Company”) filed a Registration Statement on Form S-3 (No. 333-154716) relating to the offer and sale from time to time of up to $250,000,000 of securities, which may include debt securities. Any debt securities offered and sold pursuant to the Registration Statement will be issued under either a Senior Indenture or a Subordinated Indenture between the Company and a trustee, as either may be amended or supplemented. The Senior Indenture and the Subordinated Indenture will provide for customary events of default and contain certain covenants.

The foregoing description of the Senior Indenture and the Subordinated Indenture is a summary and is qualified in its entirety by reference to the Senior Indenture and the Subordinated Indenture, which are attached hereto as Exhibits 4.1 and 4.2, respectively, and are incorporated herein by reference.
