Item 5.02.                      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 6, 2008, Nickolas W. Vande Steeg tendered his resignation from the Board of Directors of Insituform Technologies, Inc. (the “Company”).  Mr. Vande Steeg indicated that, upon review of his prior commitments, he would not be able to devote the time or attention necessary to serve as a director of the Company.
