Item 8.01.                      Other Events.

The Board of Directors of Insituform Technologies, Inc. (the “Company”) was informed of the death of Alfred T. McNeill, a director of the Company, who passed away on March 11, 2008.  Mr. McNeill was a member of both the Corporate Governance & Nominating Committee and the Strategic Planning Committee and had served as a director of the Company since 2004.
