Item 1.01 Entry into a Material Definitive Agreement.

On July 18, 2019, Teligent, Inc. (the “Company”) entered into Amendment No. 2 to Second Lien Credit Agreement (the “Second Amendment”), amending that certain Second Lien Credit Agreement, dated December 13, 2018, by and among the Company, as the borrower, certain subsidiaries of the Company, as guarantors, the lenders from time to time party thereto, and Ares Capital Corporation, as administrative agent and collateral agent for the lenders (as amended, including by the Second Amendment, the “Second Lien Credit Agreement”). Pursuant to the Second Amendment, the expiration of the commitment of the lenders under the Second Lien Credit Agreement to extend the Delayed Draw Term Loan A (as defined in the Second Lien Credit Agreement) was extended from June 30, 2019 to December 13, 2019, the first anniversary of the closing date of the Second Lien Credit Agreement. The Second Amendment is effective as of June 29, 2019.
