Item 8.01.Other Information

On July 23, 2009 the Board of Directors of Wind Energy America Inc. (the “Company”) approved a resolution to hold a regular meeting of shareholders of the Company in Minneapolis, Minnesota on October 1, 2009. A proxy statement, proxy and official notice of this upcoming meeting will be prepared and sent to shareholders of the Company, including a proposed slate of directors to serve on the Board of Directors of the Company subsequent to the meeting of shareholders.
