Item 5.02. Resignation and Appointment of Executive Officer

Effective October 30, 2008, the Board of Directors of Wind Energy America Inc, a Minnesota corporation, accepted the resignation of Alan Cross as Chief Executive Officer of the Company. There was a mutual understanding between Mr. Cross and the Company that his salary and other related costs required to continue his employment with the Company were too expensive for the Company in its early stage development.

Robert O. Knutson, Managing Director of the Company, has been appointed to assume the role of Chief Financial Officer of the Company.
