Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 27, 2023, Marc Cannon, Executive Vice President and Chief Customer Experience Officer of AutoNation, Inc. (the “Company”), informed the Company that he intends to retire from the Company, effective as of December 31, 2023. Effective as of May 15, 2023, Mr. Cannon will no longer serve as the Company’s Executive Vice President and Chief Customer Experience Officer, and he will transition to a new role focused on corporate responsibility.
