The common shares were issued under the 1998 Stock Option and Incentive Plan. (2) Represents common shares acquired and held by spouse through the Bob Evans Farms, Inc. Dividend Reinvestment Plan. (3) The option was granted under the Bob Evans Farms, Inc. Directors Compensation Plan and the 1998 Stock Option and Incentive Plan. The option vests in three equal annual installments beginning June 6, 2003. - The reporting person disclaims beneficial ownership of all securities held by his stepdaughter and stepson, and this report should n ot be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or any oth er purpose. - The common shares owned indirectly by the reporting person were inadvertently omitted from the original Form 4 filed on August 28, 2 002. This amendment is being filed to correct the ommission. The transactions reflected in this Form 4 were reported in a timely man ner.
