Item 8.01 Other Events.

On May 11, 2006, IKON Office Solutions, Inc. (the "Company") issued a press release announcing that it has determined a price for its previously announced cash tender offer for any and all of its 7.25% notes due 2008 (the "Notes") and, in connection with the tender offer, that the Company has received, as of 5:00 p.m., New York City time, on May 10, 2006, valid tenders and consents from holders of approximately $81.2 million aggregate principal amount (representing approximately 86%) of the outstanding Notes. A copy of this press release is furnished as Exhibit 99.1 to this report.
