Explanation of Responses:
1. These transactions were effected pursuant to a Rule 10b5-1 Sales Plan adopted by the reporting person.
2. A total of 16,800 shares reported as directly held are subject to vesting requirements. Full beneficial ownership of some or all of these shares may not fully vest in the reporting person.
3. A total of 15,193 of these stock units ("units") were acquired pursuant to the terms of the issuer's Executive Deferred Compensation Plan ("the Plan") and previously reported as indirectly held by a Rabbi Trust. The shares subject to the units will be issued to the reporting person at a future date in accordance with the terms of the Plan and the reporting person's Plan election.
4. Each deferred stock unit represents the right to receive one share of IKON common stock. The deferred stock units are acquired in connection with a matching contribution pursuant to the terms of the issuer's Management Stock Purchase Program ("MSPP") and the Executive Deferred Compensation Plan ("the Plan"). These deferred stock units include dividend equivalent rights and are subject to vesting requirements; 1/3 vest on 11/24/2009, 1/3 vest on 11/24/2010 and 1/3 vest on 11/24/2011, provided the reporting person continues in service with the issuer through each such date. The shares subject to vested units will be issued to the reporting person at a future date in accordance with the terms of the MSPP and the Plan and the reporting person's Plan election.
5. Each deferred stock unit represents the right to receive one share of IKON common stock. The deferred stock units are acquired pursuant to the terms of the MSPP and the Plan. The deferred stock units are fully vested and include dividend equivalent rights. The shares subject to the units will be issued to the reporting person at a future date in accordance with the terms of the MSPP and the Plan and the reporting person's Plan election.
6. Stock option vests 1/3 per year beginning one year from the date of grant.
7. Stock Option vests 20% per year beginning one year from the date of grant.
