Item 2.02.   Results of Operations and Financial Condition.

On October 27, 2005, the Company issued a press release announcing its consolidated financial results for the fourth quarter and fiscal year ended September 30, 2005. A copy of this press release is furnished as Exhibit 99.1 to this report.
