Item 8.01.   Other Events.

On July 11, 2005, IKON Office Solutions, Inc. (“the Company”) issued a press release announcing the completion of the divestiture of IKON Office Solutions S.A.S., its French subsidiary, to NRG France S.A.S., a subsidiary of NRG Group PLC. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and hereby incorporated by reference.
