Item 8.01. Other Events.

On February 23, 2005, Erie Family Life Insurance Company issued a press release announcing the approval to expand its Board of Directors and the nomination of Jonathan Hirt Hagan to fill the seat. A copy of the press release is attached hereto and is incorporated herein by reference as Exhibit 99.1.

Also in its February 23, 2005 press release, it was announced that the Board of Directors of Erie Family Life Insurance Company voted to maintain the regular quarterly dividend paid to shareholders at $.22 per share.
