Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On December 8, 2004, Samuel P. Black, III notified Erie Family Life Insurance Company of his decision to resign from the Board of Directors of Erie Family Life Insurance Company and its affiliated companies, effective immediately. Mr. Black personally informed management that his decision was based on personal reasons and that he did not have any disagreement with the company or its management.
