Item 1.01. Entry into a Material Definitive Agreement.

On March 28, 2005, the Management/Development Compensation Committee of the Board of Directors of Albertson’s, Inc. (the "Company") approved a fiscal 2004 bonus for the Company’s Chief Executive Officer of $300,000. The bonus was determined under the Albertson’s, Inc. Executive Officers’ Annual Incentive Compensation Plan, a copy of which can be found at Exhibit 10.42 of the Company’s Form 10-Q for the quarter ended May 2, 2002.
