(d) On September 30, 2004, the Board of Directors of Albertson’s, Inc. ("Albertsons") appointed Kathi P. Seifert to fill a vacancy on the Board of Directors. Ms. Seifert has been named to the Nominating/Corporate Governance and Management Development/Compensation Committees of the Board.
