Item 2.02.

Results of Operations and Financial Condition.

          On January 29, 2009, we issued a press release announcing our financial results for our second quarter ended December 31, 2008. The full text of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.

          In a conference call discussing the press release, management disclosed certain information which may be considered important to certain shareholders.

          Backlog for continuing operations as of December 31, 2008 increased 18% to $17.0 million from $14.4 million as of December 31, 2007. For the Inform segment, backlog increased 33% to $11.3 million from $8.4 million last year. The backlog for the Protect and Direct segment decreased 4% to $5.7 million from $6.0 million last year.

          We are cautiously optimistic that international sales in fiscal 2009 will outpace last year’s international sales of $24.6 million. However the growth rate of international sales is currently expected to be lower than the 21% growth rate we’ve seen over the past 2 years.
